End User License Agreement

1. The license

This End User License Agreement ("EULA") is a contract between you and Project Yoked LLC ("we", "us") and governs your use of the Ourlee mobile and web applications and any updates we provide (collectively, the "Licensed Application"). By downloading or using the Licensed Application you accept this EULA.

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to download, install, and use the Licensed Application on any Apple-branded products that you own or control, and on Android and web devices you own or control, as permitted by the Usage Rules in the applicable App Store / Google Play Terms of Service, and solely for your personal, non-commercial use as a couples app for you and your linked partner.

2. Scope of license

The license is limited as described above and does not allow you to distribute or make the Licensed Application available over a network where it could be used by multiple devices at once. You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application.

3. What you may not do

• Decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, except to the extent the law expressly permits despite this restriction.
• Resell, sublicense, or distribute the Licensed Application or substantial portions of it.
• Use the Licensed Application to build a competing product, or to scrape or harvest content that is not yours.
• Bypass, disable, or interfere with any security, rate-limiting, or entitlement mechanism.

4. Updates

We may make updates available, and may require you to install them for continued use. Updates may add, change, or remove features. This EULA governs any updates unless a separate license accompanies one.

5. Consent to use of data

We may collect and use technical data, account data, content data, and — if you opt in — location data as described in our Privacy Policy, which is incorporated into this EULA by reference. Location sharing is optional, off by default, and requires both your explicit in-app consent and your device's location permission.

6. Maintenance and support (Apple-required)

You acknowledge that Project Yoked LLC, not Apple, is solely responsible for providing any maintenance and support services for the Licensed Application. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application. For support, contact [email protected].

7. Warranty (Apple-required)

Project Yoked LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Project Yoked LLC.

8. Product claims (Apple-required)

Project Yoked LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of it, including: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of any third-party software. This EULA limits our liability to you only to the extent permitted by applicable law.

9. Intellectual property rights (Apple-required)

In the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual property rights, Project Yoked LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

10. Legal compliance (Apple-required)

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

11. Developer name and address (Apple-required)

The Licensed Application is provided by Project Yoked LLC. Direct any questions, complaints, or claims with respect to the Licensed Application to [email protected].

12. Third-party terms of agreement (Apple-required)

You must comply with applicable third-party terms of agreement when using the Licensed Application (for example, your wireless data service agreement and the terms of any optional integration such as Google Calendar).

13. Third-party beneficiary (Apple-required)

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.

14. Subscriptions

Some functionality requires a paid subscription, governed by our Subscription Terms.

15. Termination

This license is effective until terminated. It terminates automatically if you fail to comply with any term of this EULA or our Terms of Service. Upon termination you must stop all use and delete all copies of the Licensed Application.

16. Limitation of liability

To the fullest extent permitted by law, Project Yoked LLC's total liability arising out of or related to the Licensed Application is limited as set out in our Terms of Service. The Licensed Application is provided "as is."

17. Governing law

Except to the extent expressly provided otherwise (including Apple's third-party beneficiary rights above), this EULA is governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules.

The Licensed Application includes open-source software; the applicable notices and licenses are listed in-app at You → About → Licenses.
